Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Resourcee LLC ("Resourcee," "we," "us," or "our"), a limited liability company registered in the State of Wyoming, USA. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Description of Services

Resourcee provides talent placement, staffing, and recruiting services connecting US-based companies ("Clients") with South American professionals ("Candidates"). Our services include, but are not limited to:

  • Nearshore staffing and employer-of-record (EOR) arrangements
  • Direct hire and remote placement services
  • Talent acquisition and pipeline management
  • Team Pod assembly and management
  • Recruiting and technology consulting

3. Client Obligations

As a Client, you agree to:

  • Provide accurate information about your hiring needs, company, and team.
  • Treat all Candidates and Resourcee personnel with respect and in accordance with applicable anti-discrimination laws.
  • Pay fees according to the terms agreed in your Service Agreement.
  • Not solicit, hire, or engage any Candidate introduced by Resourcee outside of a formal Resourcee arrangement for a period of 12 months without our written consent, unless a conversion fee is paid.
  • Maintain the confidentiality of Candidate profiles and assessments shared by Resourcee.

4. Fees and Payment

Fees for our services are set forth in the individual Service Agreement executed between Resourcee and Client. Unless otherwise stated:

  • Placement fees are due upon the Candidate's start date.
  • Staffing fees are invoiced monthly in advance.
  • Late payments accrue interest at 1.5% per month.
  • All fees are in USD and exclusive of applicable taxes.

5. Replacement Guarantee

Resourcee offers a 90-day replacement guarantee for all placements. If a placed Candidate leaves or is terminated for performance reasons within 90 days of their start date, Resourcee will conduct a replacement search at no additional charge. This guarantee does not apply if the termination results from layoffs, role elimination, or changes in Client business needs unrelated to the Candidate's performance.

6. Confidentiality

Each party agrees to keep confidential any non-public business information received from the other party and to use such information solely for the purpose of performing obligations under these Terms. This obligation survives termination of services for a period of 2 years.

7. Intellectual Property

All content on our website, including text, graphics, and logos, is the property of Resourcee LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Resourcee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, even if we have been advised of the possibility of such damages. Our total liability to any Client shall not exceed the total fees paid by that Client to Resourcee in the 3 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Resourcee LLC and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of our services, your violation of these Terms, or your violation of any applicable law.

10. Termination

Either party may terminate a staffing arrangement with 30 days written notice. Placement agreements are not subject to early termination refunds once the Candidate has started. Resourcee may suspend or terminate access to its services immediately for breach of these Terms or non-payment of fees.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in Wyoming under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to Terms

We reserve the right to update these Terms at any time. We will notify active clients of material changes by email. Continued use of our services after changes constitutes acceptance of the revised Terms.
